- WARRANTIES THAT DEFECTS WILL BE CORRECTED OR THAT THE WEBSITE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
Starbird Chicken does not warrant or make any representations regarding the reliability, accuracy, or availability of third-party websites, delivery services, or payment processors that may be linked to or used in connection with our Services. IN NO EVENT SHALL THE TOTAL CUMULATIVE LIABILITY OF STARBIRD CHICKEN TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF OR INABILITY TO USE THE SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO STARBIRD CHICKEN IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).
Some states do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitation may not apply to residents of those states.
9. Indemnification
You agree to defend, indemnify, and hold harmless Starbird Chicken and its parent companies, subsidiaries, affiliates, officers, directors, employees, contractors, agents, licensors, suppliers, and successors and assigns (collectively, "Indemnified Parties") from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

12. Dispute Resolution
12.1 Informal Resolution
Before initiating any formal dispute resolution proceeding, you agree to first contact Starbird Chicken at [email protected] and provide a written description of the dispute, including your contact information and a description of the relief sought. We will attempt to resolve the dispute informally within thirty (30) days of receiving your notice. If we are unable to resolve the dispute informally within this period, either party may proceed to arbitration as described below.
12.2 Binding Arbitration
EXCEPT AS OTHERWISE PROVIDED IN THESE TERMS, ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION, AND NOT IN A COURT OF LAW. YOU UNDERSTAND THAT BY AGREEING TO ARBITRATION, YOU ARE WAIVING YOUR RIGHT TO A JURY TRIAL.
Arbitration shall be conducted by a single neutral arbitrator under the Commercial Arbitration Rules of the American Arbitration Association (AAA) or JAMS, as agreed by the parties, which are incorporated herein by reference. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
The arbitration shall be conducted in English, and the location of the arbitration shall be determined in accordance with the applicable AAA or JAMS rules, taking into account the convenience of the parties.
12.3 Class Action Waiver
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND STARBIRD CHICKEN AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. If a court or arbitrator determines that the class action waiver in this section is void or unenforceable, the arbitration provision shall be null and void with respect to such proceeding.
12.4 Exceptions to Arbitration
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent or enjoin the infringement or misappropriation of intellectual property rights, or to seek emergency or provisional relief pending resolution of a dispute through arbitration.
13. Term and Termination
